As
previously reported on a Form 8-K, dated July 1, 2007, Consolidated
Communications Holdings, Inc. (the “Company”) and North Pittsburgh Systems, Inc.
entered into an Agreement and Plan of Merger (the “Merger Agreement”) on July 1,
2007. On July 12, 2007, Fort Pitt Acquisition Sub Inc. (“Merger Sub”), a
Pennsylvania corporation and a wholly-owned subsidiary of the Company, executed
the Merger Agreement.
A
copy of
the Merger Agreement, which includes an updated signature page reflecting Merger
Sub’s execution thereof, is attached hereto as Exhibit 2.1 and is incorporated
herein by reference.
