ITEM 1.01. Entry Into a Material Definitive Agreement.
(a) On March 5, 2007, the Registrant entered into a Definitive Stock
Purchase Agreement with Sky Electronics, Inc. ("Sky") to acquire all
the issued and outstanding shares of Sky for consideration of
approximately $4,500,000 consisting of cash and the Registrant's
common stock.
