Item 5.07. Submission of Matters to a Vote of Security Holders.
The annual meeting of stockholders (the Annual Meeting) of Sangamo BioSciences, Inc. (the Company) was held on Wednesday, June 1, 2011 for the purposes of (i) electing seven directors to serve on the board of directors of the Company for a one-year term; (ii) conducting an advisory vote to approve the compensation of the Companys named executive officers; (iii) conducting an advisory vote as to the frequency of shareholder votes on the compensation of the Companys named executive officers; and (iv) ratifying the appointment of Ernst & Young LLP as the Companys independent registered public accounting firm for the fiscal year ending December 31, 2011. There were present at the meeting, in person or represented by proxy, the holders of 33,603,185 shares of common stock, constituting a quorum. At the Annual Meeting, the stockholders elected the nominees for director listed in the proxy statement for the Annual Meeting, approved the compensation of the Companys named executive officers, approved holding a shareholder vote on the compensation of the Companys named executive officers every three years and ratified the appointment of Ernst & Young LLP. The final vote on the proposals was recorded as follows:
