The Company’s Quarterly Report on Form 10-Q for the quarter ended March 31, 2013 was unable to be completed in time without unreasonable effort and expense to the Company because the Company does not have a full-time administrative and accounting staff and, as a result, was unable to accurately and completely compile the information required to be included in the Form.

The Company anticipates that its Form 10-Q for the three months ended March 31, 2013 will contain results of operations that reflect a significant change from the three months ended March 31, 2012, due to a gain recognized upon the settlement of amounts due to creditors payable, the settlement of notes payable, and a decrease in general and administrative expenses. Net income for the three months ended March 31, 2013 will be approximately $1.8 million as compared to $0.7 million for the three months ended March 31, 2012. Total assets will be approximately $39 million for the period ended March 31, 2013 as compared to $35.9 million for the period ended March 31, 2012.
