Item 2.02.                            RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On July 12, 2010, L-1 Identity Solutions, Inc. (the “Company”) issued a press release adjusting previously provided guidance for the first half of the year ending December 31, 2010.  A copy of the press release is furnished herewith as Exhibit 99.1.
