ITEM 1.01.                   Entry into a Material Definitive Agreement  

On May 31, 2007, Jack Henry & Associates, Inc. ("Jack Henry" or the "Company") entered into the 2^nd Amendment to Credit Agreement (the "Amendment") with Wachovia Bank, National Association ("Wachovia") as Administrative Agent for a group of Lenders. The Amendment amends the Credit Agreement (the "Credit Agreement") with Wachovia as Administrative Agent for a group of Lenders entered into on April 19, 2005, as previously amended.

The Amendment:

• Amends the Credit Agreement's definition of "Applicable Percentage";
• Extends the maturity date of the Credit Agreement to May 31, 2012;
• Eliminates the Credit Agreement's consolidated net worth financial covenant;
• Extends the period of time during which the Company may elect to increase the amount of the credit facility by an amount of up to $75 million until the expiration of the Credit Agreement;
• Amends the Credit Agreement's provision regarding restricted payments.
