TERMINATION OF REGISTRATION

     This Post-Effective Amendment relates to the Registration Statement on Form S-8 (File No. 333-73540) filed on November 16, 2001, pertaining to Deferred Compensation Obligations to be offered under the Unocal Deferred Compensation Plan.

     The undersigned Registrant hereby removes and withdraws from registration $22,551,493 in Deferred Compensation Obligations registered pursuant to this Registration Statement, and any additional securities registered pursuant to this Registration Statement that remain unissued.
