     On October 16, 2008, Virco Mfg. Corporation (the “Company”) issued a press release announcing that its Board of Directors has declared a quarterly cash dividend of $0.025 per share of Common Stock, which will be payable on December 1, 2008 to shareholders of record on November 13, 2008.

     A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
