Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensation Arrangements of Certain Officers.

          On May 10, 2007, José Enrique Fernández resigned as a member of the Boards of Directors of Oriental Financial Group Inc. (the “Company”) and Oriental Bank and Trust. There were no disagreements between the Company and Mr. Fernández leading to his decision to resign.
