Part III          Narrative

          The Report on Form 10-K for CASTLEGUARD ENERGY, INC., (the Company) for the annual period ended December 31, 2004, is due to be filed on March 31, 2005. The Company is in active negotiations with its lending facility to renegotiate the debt payment requirements under its lending documents, which are expected to be concluded within the next few days. The renegotiation of the repayment requirements would significantly effect the financial statements, and associated disclosures to same. The Company expects that its Form 10-K will be filed before April 15, 2005.
