Item 5.02 Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(c) On August 29, 2008, the Board of Directors of Winmark Corporation (Company) appointed Anthony D. Ishaug the Companys Chief Financial Officer. Mr. Ishaug will be the Companys principal financial officer and principal accounting officer, and will begin his employment with the Company on September 4, 2008. Mr. Ishaug replaces Brett D. Heffes, who was promoted to President of Finance and Administration in December 2007.
Mr. Ishaug, 36, has served in a variety of accounting, treasury and operational capacities over a twelve-year career at Lenox Group, Inc (Lenox), a publicly-traded consumer products organization. During 2008, he served as the Chief Financial Officer and Chief Operating Officer of the Department 56 division of Lenox. Prior to his promotion, he was the Managing Director, Controller and Treasurer of Lenox beginning in April 2005. From July 2000 to April 2005, he served as the Director of Treasury and Corporate Development for Lenox.
Pursuant to the Companys 2001 Stock Option Plan, and in connection with Mr. Ishaugs employment with the Company and his appointment as its Chief Financial Officer, Mr. Ishaug received an option to purchase 5,000 shares of the Companys Common Stock.

Minneapolis, MN (September 2, 2008) Winmark Corporation announces today the appointment of Tony Ishaug as the Chief Financial Officer. Mr. Ishaug was recently Chief Financial Officer and Chief Operating Officer of the Department 56 division of Lenox Group, Inc. He has served in a variety of accounting, treasury and operational capacities over a twelve-year career at Lenox.

Winmark Corporation creates, supports and finances business. At June 28, 2008, there were 857 franchises in operation under the brands Play It Again Sports®, Once Upon A Child®, Platos Closet® and Music Go Round® and there were 56 territories in operation under the Wirth Business Credit® brand. An additional 50 retail franchises have been awarded but are not open. In addition, at June 28, 2008, the Company had loans and leases equal to $47.5 million.
