Dear Triton Employees,

 

I asked Ed Schneider to share this brief note with you to convey my excitement about the merger of our two companies and our opportunity to create the world’s largest and most capable container leasing company.

 

When we first started the discussion process, I mentioned to Ed that Triton would be TAL’s first choice for a potential merger partner due to our respect for the way you run your business.  We have always viewed Triton as an innovator, and have felt that you share our commitment to operational excellence, long-term relationships, team work, integrity in all things, and careful, disciplined decision processes.  As I have learned more about Triton through our due diligence analysis and planning discussions, my confidence that Triton is the ideal partner for TAL has only increased.

 

The benefits from the merger are compelling.  We will offer customers a significantly expanded container supply capacity and support them with the best people and most efficient operations in the industry.  We will provide our lenders with a larger, stronger borrower and our equity investors will benefit from improved earnings and strategic leadership.  The new company will provide employees from both companies opportunities to take on new, increased responsibilities.

 

The enhanced capabilities, larger scale and improved cost competitiveness of the new company will provide meaningful advantages in good markets and bad, but these advantages will be particularly valuable in the current challenging environment.  We will also be ideally positioned to benefit when market conditions recover.

 

We will continue to operate as two separate companies while we wait for the necessary merger approvals, but I look forward to when we can bring our two organizations together.  We each bring great people and long traditions of success.  Our new company will be a truly exceptional organization.
