On February 7, 2007, Measurement Specialties, Inc. (the “Company”) issued a press release announcing the results of operations and financial condition for the third fiscal quarter and nine months ended December 31, 2006 after the filing of its quarterly report on Form 10-Q. The full text of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
