On June 5, 2012, the Board of Directors (the “Board”) of Kulicke and Soffa Industries, Inc. (the “Company”) approved an amendment to the Company’s By-laws to change the date of the annual meeting of stockholders to such time as may be fixed by the Board each year. Previously, the annual meeting of stockholders was to be held on the second Tuesday in February in each year. A copy of the By-law amendment is attached hereto as Exhibit 3.1 and incorporated herein by reference.
