EXPLANATORY NOTE

          This Amendment No. 1 on Form 8-K/A is being filed to correct the dividend payment date reported in the Form 8-K filed on September 9, 2015 by World Fuel Services Corporation (the “Company”).  The press release issued on such date reflected the correct dividend payment date.

Item 7.01.    Regulation FD Disclosure

         The Company announced on September 9, 2015 that its board of directors has declared a quarterly cash dividend of $0.06 per share payable on October 13, 2015 to shareholders of record on September 21, 2015.  A copy of the press release is attached hereto as Exhibit 99.1.
