(b), (c) and (d)
Effective April 2, 2008, Thomas J. Shara was appointed President and Chief Executive Officer of Lakeland Bancorp, Inc. (the “Company” or “Lakeland Bancorp”) and Lakeland Bank and a director of both the Company and Lakeland Bank. The Company’s Board of Directors also nominated Mr. Shara to stand for election for a two year term at the Company’s 2008 annual meeting of shareholders.
Roger Bosma retired as President and Chief Executive Officer of the Company and Lakeland Bank effective April 2, 2008. He will continue to serve as a director of the Company and Lakeland Bank.
Mr. Shara’s business experience is described in the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on March 26, 2008. Mr. Shara and the Company are negotiating the terms of an employment agreement.
