Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
At its meeting on September 22, 2014, the Board of Directors (the Board) of Sarepta Therapeutics, Inc. (the Company) amended and restated the Companys Bylaws, effective September 23, 2014, to adopt a majority voting standard for directors in an uncontested election of directors. Under the majority voting standard, in an uncontested election, each director shall be elected by the affirmative vote of a majority of the votes cast with respect to such director by the shares represented and entitled to vote therefor at a meeting of the stockholders for the election of directors at which a quorum is present, except as otherwise required by statute, the Companys Certificate of Incorporation or Bylaws. The Amended and Restated Bylaws retain plurality voting for contested elections. Previously, the Companys Bylaws provided that directors were to be elected in a meeting of stockholders at which a quorum was present by the plurality of the votes cast to elect a director, whether or not the election was contested.
The Board also adopted a policy in furtherance of the majority voting standard of the Amended and Restated Bylaws. Under the Boards policy, in uncontested elections, an incumbent director nominee who does not receive the required votes for reelection is expected to tender his or her resignation to the Board. The Nominating and Corporate Governance Committee of the Board, or another duly authorized committee of the Board, will make a determination as to whether to accept or reject the tendered resignation generally within 90 days after certification of the election results of the stockholder vote.
