Item 2.05 | Costs Associated with Exit or Disposal Activities. |
As part of the Companys ongoing integration synergies and efforts to realign resources for future growth areas, management is implementing certain personnel adjustments, including a workforce reduction. On February 5, 2018, the Company communicated to its employees that these personnel adjustments impact approximately 75 positions (approximately 65 of which are related to the Companys workforce reduction), or approximately 3% of total employees. The Company finalized and committed to this course of action on February 2, 2018. The workforce reduction is expected to result in pre-tax cash restructuring charges, primarily relating to severance and transition assistance, of approximately $5.2 million. Charges related to the workforce reduction, which is expected to be substantially completed in February 2018, will be expensed in the current quarter ending March 31, 2018. The majority of employees impacted by these personnel adjustments are from the Companys Performance Services segment.
