ITEM 8.01.

Other Events.

Canadian Pacific Railway Limited (the “Company”) is a foreign private issuer that prepares its management proxy circular, as required, in accordance with Canadian corporate and securities law requirements. The Company currently continues to file its periodic and current reports on U.S. domestic issuer forms. The Company’s 2019 Notice of Annual Meeting of Shareholders and 2019 Management Proxy Circular, dated March 15, 2019, has been filed with the Canadian securities regulatory authorities on March 20, 2019, and is also being filed on this current report on Form 8-K.

A copy of the Company’s 2019 Notice of Annual Meeting of Shareholders and Proxy Statement is attached as Exhibit 99.1 to this current report on Form 8-K.

Additionally, on March 20, 2019, the Company issued a press release announcing the filing of the Company’s 2019 Notice of Annual Meeting of Shareholders and Management Proxy Circular with Canadian and U.S. securities regulators. A copy of this press release is attached as Exhibit 99.2 to this current report on Form 8-K.
