Item 5.05 Amendments to the Registrant's Code of Ethics, or Waiver of a Provision of the Code of Ethics.

On August 17, 2006, the Board of Directors of Enova Systems, Inc. (the "Company") amended the Company's Code of Ethics. The amended Code of Ethics expands the policy from covering Senior Financial Officers to cover all Directors, Officers and Employees of the Company.
