Explanatory Statement
 
On October 15, 2003, Genesis Microchip Inc. (the “Company”) filed a registration statement on Form S-8 (Registration No. 333-109718) (the “Registration Statement”) with the Securities and Exchange Commission registering the offer and sale of 1,000,000 shares of common stock, $0.001 par value (“Shares”), under the Genesis Microchip Inc. 2003 Stock Plan.  All offerings under the Registration Statement have been terminated and the Company is filing this Post-Effective Amendment No. 1 to remove from registration the 665,000 Shares that have not been sold.
