Item 8.01 Other Events.
On May 15, 2006, Mr. Robert E. Schjerven, Chief Executive Officer of Lennox International Inc.
(the “Company”), entered into a written trading plan pursuant to Rule 10b5-1 under the Securities
Exchange Act of 1934, as amended. The plan provides for the sale of shares of common stock of the
Company and has been approved in accordance with the Company’s policies regarding stock
transactions.
