Item 5. Other Events and Regulation FD Disclosure.

On March 6, 2003 Homestore, Inc. (the “Company”) issued a press release announcing fourth quarter and full year 2002 results, a copy of which is attached hereto as Exhibit 5.1 and is incorporated herein by reference. On such date the Company conducted a conference call relating to such release, a transcript of the prepared remarks of which is attached hereto as Exhibit 5.2 and is incorporated herein by reference.
