Item 8.01. Other Events.
On October 3, 2012, Starwood Property Trust, Inc. (the Company) and its external manager, SPT Management, LLC (the Manager), entered into an Underwriting Agreement (the Underwriting Agreement) with Merrill Lynch, Pierce, Fenner & Smith Incorporated and Citigroup Global Markets Inc. (the Underwriters), relating to the issuance and sale of 16,000,000 shares of the Companys common stock, par value $0.01 per share (the Common Stock). Pursuant to the Underwriting Agreement, the Company granted the Underwriters a 30-day option to purchase up to an additional 2,400,000 shares of Common Stock, which the Underwriters exercised in full on October 4, 2012. The Company expects to receive net proceeds from the offering (including the issuance of the option shares) of approximately $417.7 million after deducting its estimated expenses. The offering is expected to close on October 10, 2012.
