Item 8.01. Other Events.
On December 5, 2016, Starwood Property Trust, Inc. (the Company) and its external manager, SPT Management, LLC (the Manager), entered into an Underwriting Agreement (the Underwriting Agreement) with J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated, Citigroup Global Markets Inc., Credit Suisse Securities (USA) LLC and Wells Fargo Securities, LLC, as representatives of the several underwriters named in Schedule II of the Underwriting Agreement (collectively, the Underwriters) relating to the issuance and sale of 17,800,000 shares of the Companys common stock, par value $0.01 per share (the Common Stock). Pursuant to the Underwriting Agreement, the Company granted the Underwriters a 30-day option to purchase up to an additional 2,670,000 shares of Common Stock, which the Underwriters exercised in full on December 8, 2016. The Company expects to receive net proceeds from the offering of approximately $448.1 million (including the net proceeds for the option shares) after deducting its estimated expenses. The offering closed on December 9, 2016.
