ITEM 8.01.     OTHER EVENTS.

On June 28, 2013, Boston Scientific Corporation (the Company) announced the signing of a definitive agreement to acquire the Electrophysiology business of C.R. Bard Incorporated. Closing of the transaction is subject to customary conditions and is expected to be completed in the second half of the year.
