Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 7, 2018, The Travelers Companies, Inc. (the Company) announced that Jay S. Benet, Vice Chairman and Chief Financial Officer of the Company, will step down from his role as the Chief Financial Officer effective September 1, 2018. He will remain on the senior leadership team as Vice Chairman.
Daniel S. Frey, age 54, will succeed Mr. Benet as Chief Financial Officer of the Company effective September 1, 2018. Mr. Frey is currently Senior Vice President and Chief Financial Officer for the Companys Personal Insurance segment. Since joining the Company in 2003, he has served in various finance roles, including as Chief Financial Officer for the Companys Claim and Field Management organizations.
As of September 1, 2018, Mr. Benets annual base salary will be reduced from $850,000 to $722,500, and he will continue to be eligible to earn a performance-based annual cash bonus and a stock-based long-term incentive award that will, in each case, be reduced to reflect the change in his role and responsibility and be subject to Company and individual performance.
As of August 8, 2018, Mr. Freys annual base salary will be increased to $650,000 and he will continue to be eligible to earn a performance-based annual cash bonus and a stock-based long-term incentive award that will, in each case, be increased to reflect the change in his role and responsibility and be subject to Company and individual performance.
