Item 2.02 | Results of Operations and Financial Condition. |
Although it has not finalized its full financial results for the fourth quarter and fiscal year ended December 31, 2011, the Company will announce during the 30th Annual J.P. Morgan HealthCare Conference, which begins on January 9, 2012, that it expects to report that it had approximately $275,000,000 in cash, cash equivalents and marketable securities as of December 31, 2011.
The information contained in this Item 2.02 of Form 8-K is unaudited and preliminary, and does not present all information necessary for an understanding of the Companys financial condition as of December 31, 2011 and its results of operations for the three months and year ended December 31, 2011. The audit of the Companys consolidated financial statements for the year ended December 31, 2011 is ongoing and could result in changes to the information set forth above. The Company anticipates making a public announcement of its results of operations for the fourth quarter and fiscal year ended December 31, 2011 on or about February 14, 2012.

The Companys President and Chief Executive Officer, Tuan Ha-Ngoc, will be presenting on January 10, 2012 at the 30th Annual J.P. Morgan HealthCare Conference. The slides to be used during Mr. Ha-Ngocs presentation are attached hereto as Exhibit 99.1 and the information contained therein is incorporated herein by reference. As discussed in the accompanying slides, the Company currently estimates that its existing cash and cash equivalents, marketable securities, committed research and development funding and milestone payments that it expects to receive under its existing strategic partnership and license agreements will allow it to fund its operating plan beyond 2012. In addition, and as discussed in the accompanying slides, the Company currently estimates that it will file a New Drug Application for tivozanib with the Food and Drug Administration in the third quarter of 2012.
