ITEM 8.01 OTHER EVENTS.

On December 20, 2013, the Registrant filed a Current Report on Form 8-K (the “8-K”) announcing the acquisition of a 31,705 square foot property in Grove, Oklahoma by WHLR-HPA-1, LLC, a Virginia limited liability company and a wholly owned subsidiary of Wheeler REIT, L. P., a Virginia limited partnership of which the Registrant is the sole general partner. In Item 9.01 of the 8-K, the Registrant indicated that it would file requisite audited financial information for the acquired property within 71 calendar days of the acquisition. The Registrant hereby amends the 8-K to provide that it shall not file such financial information as it is not required pursuant to Regulation S-X because the acquired property was newly constructed, owner occupied and lacked rental history.
