(e) On April 18, 2013, the stockholders of Wolverine World Wide, Inc. (the Company) approved the Wolverine World Wide, Inc. Stock Incentive Plan of 2013 (the Plan). The Board of Directors of the Company had previously adopted and approved the Plan on February 6, 2013 and approved an increase in the maximum number of shares of the Companys common stock permitted to be reserved thereunder on February 22, 2013, in each case subject to stockholder approval. The purpose of the Plan is to stimulate the efforts of employees, officers, non-employee directors and other service providers, in each case who are selected to be Plan participants, by heightening the desire of such persons to continue working toward and contributing to the success and progress of the Company. The Plan provides for grants of stock options, stock appreciation rights, restricted stock, restricted stock units and stock awards, any of which may be performance-based, and for incentive bonuses. As a result of stockholder approval of the Plan, no further awards will be made under the Companys Stock Incentive Plan of 2010.

That summary and the foregoing description of the Plan are qualified in their entirety by reference to the text of the Plan, which was previously filed with the SEC on February 27, 2013 as Exhibit 10.1 to the Companys Registration Statement on Form S-8, and is incorporated herein by reference.
