Financial Institutions, Inc., a New York corporation (FISI or the Company), is filing materials contained in this Schedule 14A with the U.S. Securities and Exchange Commission (SEC) in connection with the solicitation of proxies from its shareholders in connection with its 2016 Annual Meeting of Shareholders to be held on Friday, June 3, 2016, at 10:00 a.m., local time, at the Companys corporate headquarters in Warsaw, New York and at any and all adjournments or postponements thereof (the 2016 Annual Meeting). On April 19, 2016, FISI filed with the SEC its definitive proxy statement and accompanying definitive BLUE proxy card in connection with its solicitation of proxies to be used at the 2016 Annual Meeting.

Attached hereto is a press release issued by FISI on May 31, 2016 announcing that, Egan-Jones, a leading independent third-party proxy advisory firm, has issued a report recommending to its clients that are FISI shareholders that they vote the BLUE proxy card FOR ALL four of FISIs director nominees Martin Birmingham, Samuel Gullo, Kim VanGelder and James Wyckoff standing for election at the 2016 Annual Meeting. The Egan-Jones recommendation follows the recommendations issued over the past two weeks by Institutional Shareholder Services Inc. (ISS) and Glass, Lewis & Co., LLC (Glass Lewis) each of which also recommended that FISI shareholders vote the BLUE proxy card FOR ALL four of FISIs director nominees recommended by the FISI Board of Directors. As previously announced, Clover Partners, L.P. (Clover) and the other participants in its solicitation have publicly disclosed that they intend to pursue a proxy contest to elect two nominees to the FISI Board of Directors at the 2016 Annual Meeting. FISI strongly urges shareholders to follow the recommendations of ISS, Glass Lewis and Egan-Jones and vote only the BLUE proxy card FOR ALL four of FISIs director nominees recommended by the FISI Board of Directors.

FISI Urges Shareholders to Vote the BLUE Proxy Card Today!
WARSAW, N.Y., May 31, 2016 Financial Institutions, Inc. (Nasdaq: FISI), the parent company of Five Star Bank, Scott Danahy Naylon and Courier Capital, today announced that Egan-Jones (Egan-Jones), a leading independent proxy advisory firm, has issued a report recommending that Financial Institutions shareholders vote on the BLUE proxy card FOR ALL four of the Companys director nominees - Martin Birmingham, Samuel Gullo, Kim VanGelder and James Wyckoff - at the 2016 Annual Meeting of Shareholders to be held on June 3, 2016. Egan-Jones clients include institutional investors, mutual funds, pension funds and other fiduciaries. The Egan-Jones recommendation follows the recommendations issued by Institutional Shareholder Services (ISS) and Glass Lewis & Co., LLC (Glass Lewis) who both separately recommended that FISI shareholders vote the BLUE proxy card FOR ALL four of the Companys director nominees.
In its May 27, 2016 report, Egan-Jones stated:
| We believe that it is in the best interest of shareholders to vote with Management using the Blue Proxy Card because the dissidents [Clover Partners] have made an insufficient case to warrant their election to the Companys Board of Directors. |
Egan-Jones concluded that:
| [ ] we believe that voting FOR the managements nominees and voting FOR its other proposals is in the best interest of the Company and its shareholders. |
Commenting on the Egan-Jones report and its recommendation, FISI issued the following statement:
We are pleased to have received unanimous support from the three major independent proxy advisory firms who each separately recommended that shareholders vote FOR ALL four of FISIs highly-qualified and very experienced director nominees on the BLUE proxy card. The favorable recommendation by Egan-Jones is a further testament to the strength of the Companys strategic plan in delivering superior value to shareholders. We urge all shareholders to vote the BLUE proxy card today to help ensure that the Company continues to execute on a strategic plan that has delivered increased growth, increased profitability, and achieved a 66% increase in total shareholder returns over the past three years.
Shareholders are reminded that, no matter how many or how few shares they own, their vote is extremely important for the future of FISI. FISI is asking that shareholders follow the recommendations of ISS, Glass Lewis and Egan-Jones and VOTE TODAY each and every BLUE proxy card they receive for the FISI Boards four highly-qualified and very experienced nominees: Martin Birmingham, Samuel Gullo, Kim VanGelder and James Wyckoff.
