Amines Divestiture. The Company has reached an agreement with Taminco N.V. to sell its methylamines and higher amines assets, including manufacturing locations at Pensacola, Florida; St. Gabriel, Louisiana; and Camacari, Brazil. The parties anticipate finalizing the transaction, which is subject to regulatory approvals and customary closing conditions, by the end of September. The Company issued a press release on August 23, 2006, announcing the sale of the amines assets. A copy of the press release is attached hereto as Exhibit 99.1, and is hereby incorporated by reference. The Press Release is being furnished; it is not deemed to be filed.
