Section 8 - Other Events.

Item 8.01 - Other Events

On February 1, 2010, Overseas Shipholding Group, Inc. (the “Registrant”) issued a press release announcing management promotions.  Janice K. Smith, 48, has been appointed Chief Risk Officer.  In this newly created role, Ms. Smith is responsible for assessing, managing and mitigating key areas of global enterprise risk. William Nugent, 41, Vice President New Construction, has been promoted and will lead the Company’s newly created Technical Services Group (TSG).  Captain George Dienis, 57, has been appointed Vice President of OSG Ship Management, Inc.  A copy of such press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
