(1)	On March 31, 2017, MMC Investments, LLC was issued 75,291 DownREIT limited partnership units by PPC Sage Apartments Manager II LLC, a consolidated subsidiary of Essex Portfolio, L.P., in a DownREIT transaction in which Essex Portfolio, L.P. converted its existing preferred equity investment in an apartment community located in San Jose, CA into common equity ownership interest in the property.
(2)	The DownREIT limited partnership units are redeemable, subject to a one year holding period as well as other certain restrictions, for an equal number of shares of the issuer's common stock. The DownREIT limited partnership units have no expiration date.
