(b) Retirement of Director
On February 9, 2017 Erie Indemnity Company (the "Company") was notified by Robert C. Wilburn of his intention to retire from the Company’s Board of Directors, and not stand for re-election as a Director, at the Company’s Annual Meeting of Shareholders on April 25, 2017. Mr. Wilburn, who has served on the Company’s Board of Directors since 1999, indicated that he has no disagreements with the Company on any matter relating to its operations, policies or practices.
