ITEM 8.01 OTHER EVENTS

On November 7, 2006, Blackstone Capital Partners (Cayman) Ltd. 1, Blackstone
Capital Partners (Cayman) Ltd. 2, Blackstone Capital Partners (Cayman) Ltd. 3
and BA Capital Investors Sidecar Fund, L.P. (collectively, the "selling
stockholders") and Celanese Corporation (the "Company") entered into an
underwriting agreement (the "Underwriting Agreement") with Morgan Stanley & Co.
Incorporated (the "Underwriter") pursuant to which the selling stockholders
agreed to sell to the Underwriter 30,000,000 shares of the Company's Series A
common stock in a registered public secondary offering pursuant to the Company's
new universal shelf registration statement on Form S-3 filed on May 9, 2006
(File No. 333-133934). The Underwriting Agreement and the legal opinion relating
to the offering are filed herewith as Exhibits 1.1 and 5.2, respectively.
