NARRATIVE
State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F, 10-Q, N-SAR or the transition report portion thereof could not be filed within the prescribed time period. (Attach extra sheets if needed.)
The Registrant has encountered unanticipated delays in completing the evaluation and testing of its internal controls in compliance with Section 404 of the Sarbanes-Oxley Act of 2002. These delays have also caused delays in the independent public accountants completion of the audits of the Registrants financial statements and internal controls over financial reporting for the year ended December 31, 2004. As a result of these delays and the complex nature of the new requirements under Section 404, the Registrant is unable to complete and file the 2004 Annual Report on Form 10-K by the prescribed filing date without unreasonable effort and expense. The Registrant expects to file its Form 10-K within fifteen calendar days after the filing deadline.
