Item 5.05. Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of
Ethics
On August 21, 2008, the Board of Directors of Belden Inc. approved and adopted the Code of Ethics
included in this report as Exhibit 14.1, which supersedes in its entirety its prior code of ethics.
The revised code addresses several additional areas including safeguarding Belden’s intellectual
property; protection of the environment, health and safety; diversity in the workplace and equal
opportunity; romantic relationships; and internal investigations.
