Omnicell, Inc. (the Registrant) previously filed with the Securities and Exchange Commission (the Commission) Registration Statements on Form S-8 relating to the 2009 Plan on May 29, 2009 (File No. 333-159562), August 8, 2011 (File No. 333-176146), August 30, 2013 (File No. 333-190930) and July 2, 2015 (File No. 333-205465) (together, the Prior Registration Statements). This Registration Statement on Form S-8 (the Registration Statement) is being filed for the purpose of registering an additional 2,700,000 shares of the Registrants Common Stock to be issued pursuant to the 2009 Plan. This Registration Statement relates to securities of the same class as that to which the Prior Registration Statements relate, and is submitted in accordance with General Instruction E of Form S-8 regarding Registration of Additional Securities. Pursuant to General Instruction E of Form S-8, the Prior Registration Statements are incorporated by reference into this Registration Statement.
