Andersen (collectively with Western LLC and Western LP, the "Reporting Persons") is the managing member of Western LLC. Western LLC and Mr. Andersen may be deemed to beneficially own the securities held by Western LP by virtue of Western LLC's position as general partner of Western LP and Mr. Andersen's status as the managing member of Western LLC.
