Item 2.02  Results of Operations and Financial Condition

On December 1, 2009, the Registrant issued a press release reporting financial results for the fourth quarter and fiscal year ended September 30, 2009 (the “Press Release”).  A copy of the Press Release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. The information in this Current Report is being furnished and shall not be deemed "filed" for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that Section and not deemed to be incorporated by reference into any registration statement or other document pursuant to the Securities Act of 1933, as amended.

Item 7.01.  Regulation FD Disclosure

In the Press Release, the Registrant also announced that its Board of Directors declared an increase in the quarterly dividend rate on the Registrant’s Common Stock from 31 cents per share to 34 cents per share, effective with the dividend payable on January 4, 2010, to the Registrant’s shareholders of record as of December 15, 2009.
