ITEM 5.02.                        DEPARTURE OF DIRECTOR

We regret to announce that Mr. Thomas L. Hardeman, who had served as a member of our Board of Directors since 1994, passed away on August 20, 2006.  We extend our deepest sympathy to his wife, Eileen and family.

The Company plans to fill this open position on our Board when a qualified candidate is identified.
