ITEM 7.01. Regulation FD Disclosure.
Cogent Communications Group, Inc. (Cogent), a wholly owned subsidiary of Cogent Communications Holdings, Inc. (the Company), has priced its tack-on offering of an additional $70 million aggregate principal amount of its 5.375% Senior Secured Notes due 2022 (the Notes) at 101.75% of par value. The Notes are being offered and sold only to persons reasonably believed to be qualified institutional buyers in an unregistered offering pursuant to Rule 144A under the Securities Act of 1933, as amended (the Act). The offering is expected to close on August 20, 2018, subject to customary closing conditions. The Company intends to use the proceeds from the offering for general corporate purposes and/or to repurchase our common stock or for recurring or special dividends to our stockholders. There can be no assurance that the issuance and sale of the Notes will be consummated.
