On February 25, 2019, Amedisys, Inc. (the Company) issued a press release announcing that its Board of Directors authorized a stock repurchase program, pursuant to which the Company may purchase up to $100 million of its outstanding common stock through March 1, 2020. Under the stock repurchase program, the Company may repurchase its common stock from time to time, in amounts, at prices, and at such times as the Company deems appropriate, subject to market conditions and other considerations and in accordance with applicable federal securities laws and other legal requirements. The Companys repurchases may be executed using open market purchases, unsolicited or solicited privately negotiated transactions, an accelerated stock repurchase program, and/or a trading plan in compliance with Rule 10b5-1 promulgated under the Securities Exchange Act of 1934, as amended (the Exchange Act). A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
