ITEM 1.01. Entry into a Material Definitive Agreement
On December 17, 2008 Acme United Corporation issued a press release
announcing that it had entered into an agreement to sell property it had owned
in Bridgeport, CT. Details of the transaction are outlined in a copy of the
press release attached as exhibit 99.1 to this current report.
