The Company received the audit report of the Cripple Creek & Victor Gold Mining Company late, and was unable to compile the requisite financial data and other narrative information necessary to enable it to have sufficient time to complete the Companys Annual Report on Form 1-K by March 30, 2004, the required filing date, without unreasonable effort and expense.
