This Registration Statement on Form 8-A is being filed by Marin Software Incorporated, a Delaware corporation (the “Registrant”), in connection with the transfer of the listing of its Common Stock, par value $0.001 per share (“Common Stock”) from the New York Stock Exchange to The Nasdaq Global Market of The Nasdaq Stock Market LLC.
