Item 1.01. | Entry into a Material Definitive Agreement. |
On September 27, 2018, Fresh Del Monte Produce Inc. (the Company) entered into Amendment No. 3 to Amended and Restated Credit Agreement (the Third Amendment), by and among the Company, certain subsidiaries of the Company party thereto, the lenders party thereto and Bank of America, N.A., as Administrative Agent, Swing Line Lender and L/C Issuer. The Third Amendment amended the Companys Amended and Restated Credit Agreement, dated as of April 16, 2015 (as amended, the Agreement). Pursuant to the Third Amendment, the maximum consolidated leverage ratio, as calculated in accordance with the terms of the Agreement, applicable to the Company is (i) 4.50 to 1.00 for the Companys fiscal quarters ending September 28, 2018, December 28, 2018, March 29, 2019 and June 28, 2019; (ii) 4.00 to 1.00 for the Companys fiscal quarters ending September 27, 2019 and December 27, 2019; and (iii) 3.50 to 1.00 for the Companys fiscal quarter ending March 27, 2020.
