Item 2.02.    Results of Operations and Financial Condition
 
On January 23, 2007, UMB Financial Corporation ("UMB") issued a press release announcing the financial results for the fiscal quarter ending December 31, 2006. A copy of the press release is attached as Exhibit 99.1.

Exhibit 99.1 to this Report contains certain financial measures that are considered "non-GAAP financial measures" as defined in the SEC rules. Exhibit 99.1 of this Report also contains a reconciliation of these non-GAAP financial measures to the most comparable GAAP financial measures, as well as the reasons why UMB's management believes that presentation of the non-GAAP financial measures provides useful information to investors regarding UMB's results of operation.

The information contained in Item 2.02 of this Current Report and in Exhibit 99.1 of this Current Report is being furnished and shall not be deemed "filed" with the SEC for the purposes of Section 18 of the Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section.

 
 
Item 8.01.    Other Events
 
On January 23, 2007, UMB issued a press release announcing an increase in its quarterly cash dividend to 14 cents per share. The dividend will be payable on April 2, 2007 to shareholders of record at the close of business March 12, 2007. A copy of the press release announcing the dividend is attached as Exhibit 99.2.
