Item 1.01. Entry into a Material Definitive Agreement.
On May 21, 2015, HealthStream, Inc., a Tennessee corporation (the Company) entered into an underwriting agreement (the Underwriting Agreement) with William Blair & Company, L.L.C. and Raymond James & Associates, Inc. as representatives of the several underwriters named therein (the Underwriters). Pursuant to the terms and conditions of the Underwriting Agreement, the Company agreed to sell 3,365,000 shares of its common stock, no par value per share (the Common Stock) at a per share purchase price to the public of $26.75. In addition, the Company granted the Underwriters a 30-day option to purchase up to 504,750 additional shares of Common Stock on the same terms and conditions to cover over-allotments. The Underwriters fully exercised this over-allotment option, resulting in a total sale of 3,869,750 shares of Common Stock. This underwritten public offering was completed on May 28, 2015. The Common Stock was offered pursuant to a prospectus supplement, dated May 21, 2015, and a base prospectus, dated August 22, 2014, pursuant to the Companys effective shelf registration statement on Form S-3 (File No. 333-198059) (the Registration Statement).
The Underwriting Agreement contains customary representations, warranties and covenants that are valid as between the parties and as of the date of entering into such Underwriting Agreement, and are not factual information to investors about the Company.
